Sustainable governance model

At OmaSp, sustainability and responsibility are built into every role and function. Our sustainable governance model specifies the structures and responsibilities that direct our work in this area.

Our sustainable governance model ensures that responsible operations are integrated into OmaSp’s daily actions, decision-making and risk management. It ensures that sustainability perspectives are included in everything from everyday tasks to business development. Our sustainable governance model also disperses tasks and responsibilities across different parts of our organisation.

General Meeting

The General Meeting confirms the sustainability report as part of the Board of Directors’ report and the financial statements, and decides on the selection and remuneration of the sustainability report assurance provider. 

Board of Directors and committees

The Board of Directors is responsible for strategic sustainability policies and oversees the implementation of sustainability-related objectives and actions. The Risk Committee assists the Board in duties related to risk oversight and compliance monitoring, including environmental, social and governance (ESG) issues. The Audit Committee supports the Board in monitoring, supervising and preparing matters related to financial reporting, internal controls and risk management. The Audit Committee also has responsibilities related to the preparation of sustainability reporting.

CEO and Management Team 

The CEO leads and develops the company’s business operations and is responsible for operational management in line with instructions from the Board of Directors, including in ESG issues. The Management Team assists the CEO.

Sustainability Working Group 

Multiple administrative and business functions participate in the bank’s Sustainability Working Group. The group shares information between internal stakeholders and ensures that sustainability perspectives are properly considered, e.g. in planning and implementing development projects. 

Personnel 

Sustainability-related responsibilities related to employees are distributed across several functions. For example, we have integrated sustainability policies into our daily business operations and our product and system development. The risk management function also plays a key role in working with the business functions in assessing ESG risks. Every employee plays a role in promoting sustainability according to their own responsibilities.
