Remuneration policy
1. Introduction
The Oma Savings Bank's remuneration policy is consistent with the Company's business strategy, objectives and values and corresponds to the long-term interest of the Company. The remuneration is consistent with the Company's good and efficient risk management and risk-bearing capacity and promotes it.
The remuneration policy complies with the applicable Finnish Corporate Governance Code of Listed Companies issued by the Securities Market Association, the Credit Institutions Act (610/2014, as amended) and the European Banking Authority’s instructions concerning impeccable remuneration systems (EBA/GL/2021/04), legislation on shareholder rights and other regulations and instructions that apply to credit institutions and publicly listed companies.
The remuneration policy is a tool for long-term guidance and is responsible to both owners and members of the governing bodies. The overall remuneration is designed in a way that encourages to do one’s best and exceeds the set goals. The remuneration policy defines the principles and processes of the remuneration of the governing bodies in a way that, according to the Board's assessment, best supports the successful implementation of the Company's strategy and, consequently, the increase in ownership value. The remuneration policy also enables the recruitment and engagement of senior management and Board of Directors to the Company.
The remuneration policy is based on principles that apply to all employees of Oma Savings Bank. However, variable remuneration constitutes a proportionally larger part of the overall remuneration of the CEO compared to the personnel in average of Oma Savings Bank, as the Company's intention is that there is a link between the remuneration of the CEO and the interests of the Company’s shareholders. At the same time, however, care is taken to ensure that the criteria for variable remuneration are the same or parallel to the CEO, his/her deputy, and other employees.
According to mutually agreed policies and the risk strategies of the Company, successful work will be rewarded fairly. The remuneration considers the Company’s risk management principles and ensures the system does not encourage excessive or undesirable risk-taking.
- Description of the decision-making process
The Remuneration Committee of the Board of Directors of Oma Savings Bank prepares the remuneration policy and any material changes.
The Board of Directors discusses and presents the remuneration policy and its material changes to the Annual General Meeting, when necessary and at least every four (4) years. The Annual General Meeting shall take an advisory decision as to whether it supports the remuneration policy proposed. The Shareholders cannot propose changes to the remuneration policy presented to the Annual General Meeting. If the majority of the General Meeting does not support the remuneration policy proposed to it, the revised remuneration policy shall be presented to the next Annual General Meeting at the latest. In such cases, the remuneration of the Board of Directors and the CEO is based on the remuneration policy presented to the Annual General Meeting until the revised remuneration policy has been discussed at the Annual General Meeting.
The Remuneration Committee of the Board of Directors monitors annually the implementation of the remuneration policy and if necessary, makes proposals for measures to ensure the implementation of the remuneration policy.
The Board of Directors presents annually to the Annual General Meeting a remuneration report prepared by the Remuneration Committee, which enables shareholders to assess the implementation of the Company's remuneration policy. The Annual General Meeting makes an advisory decision on the approval of the remuneration report.
The Annual General Meeting decides on the authority of the Board of Directors on the acquisition of Company’s own shares, the issue of shares and the granting of special rights entitling to shares, so that they can be used e.g., in the Company's reward systems.
Information on measures to prevent and manage conflicts of interest in the decision-making process and on the role of the Shareholders' Nomination Committee and the Board's Remuneration Committee in the various stages of the decision-making process are described in the remuneration descriptions of the various governing bodies presented below.
- Description of the remuneration of the Board of Directors
The remuneration of the members of the Board of Directors is decided by the Shareholders at the Annual General Meeting.
The Company has a Shareholders' Nomination Committee consisting of representatives of the five largest shareholders. Its task is to prepare proposals for the remuneration of the members of the Board of Directors for the next Annual General Meeting and, if necessary, for the Extraordinary General Meeting. The chairman of the Board of Directors, who participates in the meetings of the Nomination Committee as an expert shall not participate in the decision-making process when making a proposal on the remuneration of the Board of Directors.
The Rules of Procedure of the Shareholders' Nomination Committee, approved by the Annual General Meeting, describe the principles of remuneration and the method of the preparation and the decision-making of the proposal. The remuneration of the chairman and members of the Board of Directors shall be reasonable in relation to the quality and scope of the task.
The Annual General Meeting decides on the remuneration of the Board of Directors in accordance with the above, and whether the remuneration will be in cash or other forms, such as partially paid in the Company shares. The rewards shall be competitive so that the necessary qualifications can be obtained and maintained in the Board. Additionally, the Annual General Meeting may decide that members of the Board of Directors will be paid or reimbursed for all expenses and costs related to or arising from their Board membership.
- Description of the remuneration of the CEO
The Board of Directors decides on the terms and conditions of employment and remuneration of the CEO. Decisions are taken within the framework of the remuneration policy presented to the Annual General Meeting. The CEO has a written CEO agreement with a fixed salary and includes the terms and conditions for pension plans and in-kind benefits as well as compensation for the termination of the service relationship. The CEO may also be offered variable remuneration.
The Remuneration Committee of the Board of Directors is responsible for preparing the remuneration of the CEO and other financial benefits. The CEO is not a member of the Remuneration Committee and does not participate in decision-making on his remuneration issue.
The remuneration of the CEO is regularly assessed in relation to general market practices for persons performing in similar functions, considering current regulation and guidance on remuneration in the financial sector.
The CEO’s salary is fixed and based on the requirements and the scope of the position as well as the skills, qualifications, work experience and performance of the person. Variable remuneration complements the basic salary and is based not only on the CEO’s performance but also on the overall results and development of Oma Savings Bank Group. When assessing performance, both financial and other factors are taken into account, as well as how the performance or results have been realised over the long term.
Variable fees may be up to 100% of the fixed annual salary at the time the fees are granted. Conditions related to variable remuneration are presented in section 7.
The system of variable remuneration is reviewed annually.
- Criteria for determining potential variable remuneration components
The Board of Directors may decide on a share-based incentive scheme for the Company's CEO and other key persons. The aim of the system is to combine the objectives of the owners and the key persons to increase the value of the Company in the long term, and to commit the executives to implement the Company's strategy, objectives, and long-term interest as well as to offer them a competitive remuneration scheme based on accrual.
The possible remuneration of the scheme is based on the achievement of the criteria defined by the Board of Directors, which are linked to sustainable and risk-adjusted overall results and their development during the earning period. The criteria may be based on (a) the total return on the share, which focuses on long-term ownership value creation, (b) financial and operational earning criteria focusing on, among other things, profitable growth and/or (c) strategic earning criteria, which focus on strategic focus areas as well as on quality criteria such as customer and employee satisfaction. Each earning period has several criteria objectives. The Board of Directors has the right to review and update the levels of the criteria objectives annually. The Board of Directors clearly defines the way in which earnings criteria are measured, while setting the objectives of the earning criteria. The Board of Directors may set measurement periods of different lengths within the earning period.
The duration of the earning period is at least two (2) years. After the earnings period ends, the fee payment will be deferred, as appropriate, in accordance with financial sector regulation.
At the end of the earnings period, the remuneration will be paid partly in shares of the Company and partly in cash. At least half of the remuneration shall be paid in shares unless the terms and conditions state otherwise. The purpose of the cash share is to cover taxes and parafiscal charges incurred by the key person on the fee. The transfer of paid-in shares is limited by the financial sector regulatory requirements for the waiting period.
In addition to the share-based incentive scheme, the Board of Directors may decide on the annual bonus or other variable remuneration to be paid to the CEO.
A key principle in the overall remuneration of the CEO is to ensure the CEO's long-term and significant shareholding. The CEO's shareholding in the Company strengthens the entrepreneurial approach and the long-term consistency of the interests of the CEO and shareholders. To contribute to this, long-term incentives include a shareholding requirement that the CEO must keep half the shares he receives under long-term incentive schemes until the value of his/her shareholding in the Company corresponds to his/her fixed annual basic salary.
- Other key conditions applicable to the service relationship
The Board of Directors decides on the other terms and conditions of the CEO's service relationship, as agreed in the written CEO agreement. The CEO agreement provides for a mutual notice period and compensation related to the termination of the service relationship, as well as a supplementary pension plan that complies with the terms agreed in the industry in the corresponding agreements.
At the end of the CEO's service relationship, the Board of Directors may, at its discretion, decide whether to receive remuneration for share-based incentive schemes and/or other incentive schemes to the CEO. The Board of Directors may decide on the terms and conditions on which these fees will be paid.
- Conditions for variable remuneration
The Board of Directors has the right to withhold or reclaim variable remuneration in exceptional cases that have led, or could lead, to an adverse or unreasonable outcome for the Company. The Board of Directors' discretion also extends to situations where the CEO has acted in violation of regulations, guidelines, or internal policies applicable to credit institutions, or has, through action or negligence, contributed to such misconduct.
There is no entitlement to variable remuneration, for example, in a situation where the Company's total capital adequacy would be jeopardised by the payment of fees, or if the resolution authority would require the bank to refrain from paying fees.
The Board of Directors has the right to cancel all or part of the remuneration under the incentive scheme, or to recover fees already paid until the end of the waiting period, if the Company's financial statements have to be amended and it has or could have had an impact the amount of remuneration if the achievement of the criteria has been manipulated or has been acted in violation of the Company's business regulations, guidelines or policies and practices, or in violation of the criminal code or the law relating to the employment relationship, or the Company's ethical guidelines or otherwise unethically.
- Deviation from remuneration policy and changing remuneration policy
The remuneration of governing bodies is carried out within the framework of the remuneration policy presented to the Annual General Meeting. The Company may, however, temporarily deviate from the remuneration policy presented to the General Meeting if the deviation is necessary to ensure the Company's long-term interests and the remuneration policy in force would no longer be appropriate in the changed circumstances. Such situations include, for example, a change of the Board of Directors or CEO, a significant change in the Company's strategy, changes in the decision-making process concerning the remuneration of the Company, significant acquisitions such as merger, takeover bid or acquisition, and changes in legislation, regulatory, taxation or similar changes affecting the operating environment.
The deviation may apply to all aspects of the remuneration, depending on what the Board of Directors considers necessary to ensure the Company's long-term success.
The deviation to the remuneration of the Board of Directors is decided by the Annual General Meeting and the CEO by the Company's Board of Directors. The Board of Directors will present the deviations and their justifications for the next Annual General Meeting, and they will be in addition reported in the next remuneration report.
- Changing the remuneration policy
The Company may make changes other than non-material to the remuneration policy without presenting the amended policy to the Annual General Meeting. Such permitted non- material changes include, for example, technical changes in the decision-making process on remuneration or the terminology of remuneration. A change in legislation may also be a reason for making non-material changes to remuneration policy.
The Board of Directors assesses the need for changes in remuneration policy, and material changes to remuneration policy are prepared and presented to the Annual General Meeting in accordance with the decision-making process described in section 2 above. The Company will consider to what extent and in what scope the resolution of the General Meeting on the previous remuneration policy, as well as the feedback given on remuneration reports published after the approval of that policy, are relevant for the preparation of the new remuneration policy.
Remuneration Committee
The Remuneration Committee is composed of a minimum of three members, which are elected by the Board of Directors from among its members annually. The Board of Directors specifies the Remuneration Committee’s duties in its adopted charter. The duties of the Remuneration Committee include preparing matters pertaining to the remuneration and other financial benefits of the CEO and other management members, preparing matters pertaining to reward schemes, assessment of the remuneration of the CEO and other management members, attending to the appropriateness of the reward schemes, preparing matters pertaining to the appointment of the CEO and other management members and identifying their potential successors, and the development of the remuneration of other personnel and the organisation.
The members of the remuneration committee are Juhana Brotherus (Chairman), Jaakko Ossa and Aki Jaskari.
Employee OmaOsake-share savings plan
Period 1 April 2024-31 March 2025
The Board of Directors of Oma Savings Bank Plc decided to establish an employee share savings plan (“OmaOsake”) for the employees. About half of the company's personnel already own shares in the Company. By encouraging employees to acquire and own shares in the Company, the Company seeks to align the objectives of shareholders and employees in order to increase the value of the Company in the long term. The aim is also to support employee motivation and commitment as well as the Company’s corporate culture and management model.
The OmaOsake offers the personnel the opportunity to invest part of their regular salary in the Company’s shares. The OmaOsake consists of annually commencing plan periods, each with a 12-month savings period followed by a holding period of approximately two years. The Board of Directors decides annually on the launch of the plan period. Participation in the OmaOsake is voluntary, and employees are invited to participate in each plan period separately.
Under the OmaOsake, employees save part of their salary, and the savings are used to subscribe for Oma Savings Bank Plc shares (“savings shares”) twice a year in directed share issues. The shares will be offered for subscription in share issues at a discount of 10 per cent.
Participants have the opportunity to receive one free matching share (gross) per two savings shares or one savings share, depending on the achievement of the performance criteria. If the performance criteria are not fulfilled, the participants will receive one matching share per three savings shares. As a rule, the receipt of the matching shares is subject to continued employment and holding of savings shares for the holding period ending 31 March 2027. The first savings period starts on 1 April 2024 and ends on 31 March 2025.
The potential reward will be paid partly in shares and cash after the end of the holding period. The cash proportion is intended to cover taxes and statutory social security contributions arising from the reward. The matching shares are freely transferable after they have been recorded on the participant’s book-entry account. Savings shares and matching shares are ordinary shares in Oma Savings Bank Plc entitling to dividends.
In accordance with financial sector legislation, the rewards for certain persons working in risk-taking positions will be paid in a deferred schedule so that the matching shares will be paid to the participants in five instalments over a period of approximately four years after the end of the holding period. In this case, the payment of the reward instalment is followed by a one-year retention period, during which the participant cannot transfer the shares paid as reward.
During the 2024–2027 plan period, the OmaOsake will be offered to approximately 440 employees including members of the Management Team and the CEO.
The gross value of the matching shares to be paid based on the first plan period shall not exceed approximately EUR 1,130,000, calculated at a share price of EUR 20.00, and assuming that savings shares have been offered at a discount of 10 per cent, corresponds to a maximum total value of approximately 56,500 Oma Savings Bank Plc’s shares, including the proportion to be paid in cash. The final value of the matching shares depends on the number of participants, the number of savings shares acquired by the participants and the fulfilment of the performance criteria.
Period 1 April 2025-31 March 2026
The Board of Directors of Oma Savings Bank Plc (“OmaSp or Company”) has decided to continue the employee share savings plan (“OmaOsake”) established in February 2024.The details of the new plan period correspond to the details of the previous plan period.
The OmaOsake offers the personnel the opportunity to invest part of their regular salary in the Company’s shares. By encouraging employees to acquire and own shares in the Company, the Company seeks to align the objectives of shareholders and employees in order to increase the value of the Company in the long term. The aim is also to support employee motivation and commitment as well as the Company’s corporate culture and management model.

As a rule, the receipt of the matching shares is subject to continued employment and holding of savings shares for the holding period ending 31 March 2028. The second savings period starts on 1 April 2025 and ends on 31 March 2026.
The potential reward will be paid partly in shares and cash after the end of the holding period. The cash proportion is intended to cover taxes and statutory social security contributions arising from the reward. The matching shares are freely transferable after they have been recorded on the participant’s book-entry account. Savings shares and matching shares are ordinary shares in Oma Savings Bank Plc entitling to dividends.

The gross value of the matching shares to be paid based on the second plan period shall not exceed approximately EUR 1,368,000, which, if calculated at a share price EUR 11.00 and assuming that savings shares have been offered at a discount of 10 per cent, corresponds to a maximum total value of approximately 138,000 Oma Savings Bank Plc’s shares, including the proportion to be paid in cash. The final value of the matching shares depends on the number of participants, the number of savings shares acquired by the participants and the fulfilment of the performance criteria.
Long-term incentive schemes
For the years 2024-2025
The Board of Directors of the Company decided on a new performance period for the share-based incentive scheme for key employees (“Share Plan”) for the financial years 2024–2025.
The aim of the Share Plan is to align the interests of the shareholders and key employees in order to increase the value of the Company in the long term, and to commit the key employees to implement the Company’s strategy, objectives and long-term interest and to provide them with a competitive incentive scheme based on earning the Company’s shares. The share-based incentive plan is valid until further notice and the Board of Directors decides separately on the commencement of performance periods as well as the participants, allocations and criteria of the performance periods.
The target group of the performance period 2024–2025 consists of approximately 45 key employees, including the Company’s CEO and members of the Management Team. The potential reward for the performance period will be mainly based on the comparable cost-income ratio, customer and personnel satisfaction and quality of the credit portfolio.
The reward will be paid partly in the Company’s shares and partly in cash. The cash proportion is intended to cover taxes and statutory social security contributions arising from the reward to the participant. As a rule, no reward will be paid if the participant’s employment or service ends before the reward payment. The amount of reward may be reduced subject to risk adjustments. The rewards to be paid from the performance period correspond to the value of an approximate maximum of 405,000 Oma Savings Bank Plc shares in total, including the proportion to be paid in cash.
The potential rewards from the performance period will be deferred and paid to the participants in five instalments in approximately four years after the end of the performance period, in compliance with the legislation governing the financial sector. The payment of the rewards is followed by a retention period of one year, during which the participant cannot transfer the shares paid as a reward.
For the years 2022-2023
Oma Savings Bank Plc’s Board of Directors has confirmed 218,293 shares for payment of the share-based incentive scheme 2022–2023, including the amount to be paid in cash. The share rewards will be paid in six installments within five years.
The share-based incentive scheme 2022–2023 had one two-year earning period. The target group of the scheme included 29 key persons, including the Company's CEO and members of the Management Team.
The remuneration of the scheme was based on comparable cost-income ratio, the quality of the credit portfolio, and customer and employee satisfaction.
The CEO of the Company and a member of the Management Team must hold at least 50 percent of the net shares paid under the scheme until the value of the CEO's share ownership in the Company is equal to the value of his gross annual salary and, accordingly, the shareholding of a member of the Management team in the Company is equal to half the value of his/her annual gross salary. This amount of shares shall be held for as long as the CEO's term of office or membership of the Management Team continues.
In February 2022, the company’s Board of Directors decided on an incentive scheme for its key personnel. The aim of the scheme is to combine the interests of owners and key persons in order to increase the value of the company in the long term, and to commit the key persons to implement the company's strategy, objectives and long-term interest and to provide them with competitive earnings of the company's shares and a remuneration scheme based on accrual. The terms of the share-based incentive system follow the principles of variable remuneration presented in the company's remuneration policy. The persons belonging to the systems do not have other variable remuneration reward systems during the earning period.
The company's Board of Directors decided to establish one two-year earning period for the years 2022-2023 in the share incentive scheme. The system's target group includes a maximum of 30 key personnel, including the company's CEO and members of the group's management team. The fees payable under the scheme corresponds to a maximum value of 400,000 shares of Oma Savings Bank Plc, including the amount to be paid in cash.
For the years 2020-2021
The share incentive scheme established in February 2020 (2020-2021) had one two year earning period. In February 2022, the company's Board of Directors approved 331,790 shares for payment from the incentive system, including the portion to be paid in cash. The system's target group included 10 key personnel.
